株式公開買い付け
およそ2ヶ月間続いたＨＯＹＡとペンタックスの統合問題が、 “株式公開買い付け ＝ tender offer ” で両者が合意し、収束に向かっているという記事です。

Hoya Corp. said Thursday it would launch a ￥105 billion tender offer for Pentax Corp. in early June in an attempt to turn
the camera maker into a subsidiary and sharpen its competitive edge in the fast-growing medical business.
Hoya and Pentax said their board members separately endorsed the buyout bid earlier in the day, putting an end to
nearly two months of tangled merger talks between the two companies.

今回の株式公開買い付けは、記事でも述べられていますように両者の取締役会で支持されていますので、友好的な買収ということになりますが、一般的に “tender offer ” という場合は、 “敵対的吸収合併 ＝ hostile merger ” の一つの手段と考えらています。
「株式公開買い付け」 の別な言い方は、 “ＴＯＢ ＝ takeover bit ” です。
